ADX Broadway 2027 · June 18–22, 2027 · New Amsterdam Theatre, New York City. This Director / Organization Participation Agreement ("Agreement") is entered into between Adams Davy Experiences LLC DBA ADX Academy ("ADX Academy") and the organization identified on the signature line below ("Organization"), acting through its authorized representative ("Director").

1. Minimum performer commitment

The standard ADX Academy group buyout requires a minimum of 35 performers. CYT Houston has been approved for a custom minimum of 25 performers for ADX Broadway 2027. This custom minimum is granted to the Organization specifically and is not transferable to other organizations or experiences. This commitment must be met by the registration deadline; if it is not met, ADX Academy reserves the right to adjust pricing to reflect the lower headcount or cancel the reserved experience subject to the cancellation terms below.

2. Deposits — refundable for 14 days, per participant

The per-participant deposit listed on the proposal is refundable for up to 14 days from the date of payment. After the 14-day window, the deposit becomes non-refundable. Each participant selects a 6, 9, 12, or 15-month payment plan at registration. Deposits apply individually to each registrant (performer, chaperone, or spectator) at the time of their registration, confirm individual participation, and reserve the participant's slot within the Organization's group. Deposits are not transferable between participants, between organizations, or between ADX Academy experiences without prior written approval from ADX Academy.

3. Communication of program terms to group members

The Director is responsible for accurately communicating all program terms — including pricing, deposit amount, payment schedule, occupancy options, the experience itinerary, the program journey map, and the cancellation policy — to the families and individual participants comprising the Organization's group. ADX Academy provides a participant-facing Tour Agreement at registration that each participant accepts individually; this does not relieve the Director of the responsibility to communicate the proposal-level terms in advance of registration.

4. Payment model — direct pay

The Organization acknowledges and agrees that this proposal operates under the Direct Pay model: each participant logs in to the ADX Academy registration portal and pays ADX Academy directly for their deposit and their selected payment plan. The Director and Organization do not collect, hold, or remit participant payments. ADX Academy will provide the Director with an aggregate dashboard view of registration and payment progress, scoped to the Organization's group only.

5. Group code of conduct

The Director and Organization are responsible for the conduct of the Organization's group throughout the experience, including travel, hotel accommodations, rehearsals, performance, and excursions. The Organization will appoint a sufficient number of adult chaperones to supervise its minor participants. ADX Academy reserves the right to dismiss any participant whose conduct materially disrupts the experience, endangers other participants, or violates the rules of partner venues, hotels, or transportation providers. Dismissal does not trigger a refund, and travel home is the dismissed participant's (or their family's) responsibility.

6. Force majeure & show/venue/cast/date changes

ADX Academy is not liable for any failure to perform under this Agreement caused by acts of God, force majeure, acts of government, civil unrest, airline delays, or any other cause beyond the direct control of ADX Academy — including but not limited to severe weather, fire, flood, earthquake, public health emergencies, travel restrictions, war, terrorism, strikes, supplier insolvency, or venue closure.

The show, venue, cast, and dates for ADX Broadway 2027 are subject to change without notice. This includes the specific Broadway show attended (currently scheduled at New Amsterdam Theatre), the performance venue, featured cast members, hotel property, scheduled excursions, and exact daily timing across June 18–22, 2027. Where a force majeure event or material change occurs, ADX Academy will work in good faith to reschedule or offer reasonable alternatives; refunds, if any, are governed by the cancellation terms in the registrant-level Tour Agreement and by any travel insurance the participant has obtained separately.

7. Binding arbitration — Harris County, Texas

Any dispute, claim, or controversy arising out of or relating to this Agreement, including the determination of its scope or applicability, shall be resolved by binding arbitration administered in Harris County, Texas, in accordance with the rules of the American Arbitration Association then in effect. Judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. The parties waive any right to a jury trial. The prevailing party in any arbitration or related proceeding is entitled to recover reasonable attorneys' fees and costs.

8. Signature

By signing below, the Director represents that they are duly authorized to bind the Organization to this Agreement, that they have reviewed the accompanying proposal in full (Overview, Pricing including deposit amount, Registration Link, Journey Map, and Terms & Notes tabs), and that they accept these terms on behalf of the Organization.

Signature line below captures Director name & title, Organization name (from the proposal), digital signature, and submission timestamp. Submitted signature is stored as a base64-encoded PNG on the proposal record.
